Legal Term

Contractor Access and Liability Clause

Legal Definition

A provision in a co-working membership agreement that specifies the member's responsibilities when bringing outside contractors or employees onto the premises. It typically covers issues of insurance, indemnification, compliance with space rules, and liability for the contractor's actions.

In Plain English

This clause says if you bring in outside help, you're responsible for them. If they break something or hurt someone, you could be on the hook, not the co-working space.

Example in a Contract
Member shall ensure that all contractors, agents, or employees of Member accessing the Premises are fully informed of and comply with all Operator rules and regulations. Member shall be solely liable for any damage or injury caused by such persons and shall indemnify and hold harmless Operator, its officers, and agents from any related claims. Member shall provide Operator with certificates of insurance naming Operator as an additional insured for all such persons prior to access.
