Hidden Mail Handling Clause in Hot Desk Agreements
Legal Definition
A provision within a non-exclusive license agreement for shared, unassigned workspace that delineates the limited responsibility of the operator for receiving, storing, securing, or forwarding a member's physical mail and packages, often containing liability waivers and procedural requirements that shift significant risk to the member.
In Plain English
The fine print in a coworking 'hot desk' contract that says the space isn't really responsible for your business mail. It explains how (or if) they handle it, and usually says you can't sue them if your important letters or packages get lost, stolen, or damaged.
Example in a Contract
Section 7. Mail and Package Handling
7.1 The Operator may, as a complimentary service, accept delivery of Member's mail and packages addressed to the Premises. This service is provided solely as a convenience and is not a core obligation of the Operator.
7.2 The Operator shall not be responsible for inspecting, securing, or verifying the contents of any delivered item. All items are held at the sole risk of the Member.
7.3 Member is solely responsible for providing clear and accurate delivery instructions to all third-party carriers. The Operator bears no liability for misdelivered, delayed, or lost items.
7.4 Unless a separate, paid Mail Forwarding Agreement is executed, Member must collect all items within 7 days of notification. Items unclaimed after 30 days will be considered abandoned and may be returned to sender or destroyed.
7.5 The Operator's total liability under this Section shall not exceed $50 per incident.
