Legal Definition

A contract provision where parties agree not to make negative, damaging, or critical statements about each other. In influencer agreements, this typically restricts the influencer from publicly criticizing the brand, its products, or representatives, and may also limit the brand from harming the influencer's reputation.

It's a promise not to talk trash about each other. For influencers, it means you can't roast the brand online, and they can't trash your rep.

9. Non-Disparagement. Influencer agrees that during the Term and for twelve (12) months following termination, Influencer shall not publish or communicate any false, disparaging, or derogatory statements regarding the Brand, its products, services, or any of its officers, directors, or employees. Brand shall not make any public statements that materially harm Influencer's professional reputation.
