Legal Term

platform algorithm change force majeure freelancer

Legal Definition

A contractual provision that treats significant, unexpected alterations to a digital platform's algorithmic functionality as a force majeure event, excusing a freelancer from performance obligations due to impossibility or severe commercial impracticability resulting from such change.

In Plain English

If a platform like Uber or Fiverr suddenly changes its rules in a way that destroys your ability to earn money, this clause lets you quit your contract without being sued or penalized.

Example in a Contract
Section 12.4: Algorithmic Modification as Force Majeure. Should the Platform implement a core algorithm update that materially and adversely affects Freelancer's job assignments, visibility, or revenue streams, such update shall be deemed a Force Majeure event under Section 18. Freelancer may terminate this Agreement upon three days' written notice to Client, and neither party shall be liable for damages arising from such termination.
