How to Negotiate a Food Truck Commissary Lease

Legal Definition

The legal process by which a food‑truck operator and the owner of a commercial kitchen (commissary) mutually agree on a binding lease agreement that specifies rent, utilities, permitted use of the kitchen, compliance with health and safety regulations, maintenance responsibilities, insurance and indemnity obligations, and termination rights for the period the operator will use the facilities to prepare food for sale from a mobile unit.

Example in a Contract
Section 4 – Rent and Utilities. Tenant shall pay a base rent of $1,200 per month, plus a proportionate share of utilities estimated at $150 per month. Rent is due on the first day of each month. Late payments shall incur a 5% penalty. Section 6 – Permitted Use. The premises may be used solely for food preparation, storage, and cleaning of food‑truck equipment in compliance with all applicable health‑department regulations. Section 9 – Indemnity. Tenant shall indemnify and hold Landlord harmless from any claims arising out of Tenant’s use of the kitchen, including food‑borne illness or equipment damage.
