Freelancer Retainer Fee Non-Refundable Clause

A contractual provision in a freelance services agreement where a client pays an upfront sum (a retainer) to secure the freelancer's availability and commitment, and the clause explicitly states that this payment is non-refundable under any circumstances, even if the client terminates the agreement early or fails to utilize the freelancer's services. For enforceability, the fee must reasonably compensate the freelancer for reserving capacity and forgoing other work, rather than functioning solely as a penalty.

**Section 4. Retainer and Payment** 4.1 Upon execution of this Agreement, Client shall pay Freelancer a non-refundable retainer fee of $2,500.00 (the 'Retainer'). 4.2 The Retainer secures Freelancer's exclusive availability for the Services outlined in Exhibit A during the Term and compensates Freelancer for the opportunity cost of declining other engagements. 4.3 The Retainer is earned in full upon receipt and is non-refundable for any reason, including but not limited to Client's termination of this Agreement, suspension of the project, or failure to deliver required materials. No portion of the Retainer shall be applied to any final invoice or credited back to Client.
